Job Overview A dynamic, fast-growing Florida law firm with two offices across the state is seeking a highly experienced Senior Tax Attorney with 20+ years of M&A and transactional tax expertise to join its Fort Lauderdale office. This senior‑level, partnership‑track position is ideal for a seasoned tax attorney with deep technical expertise in corporate transactions, deal structuring, and tax‑efficient planning across domestic and international jurisdictions. You’ll advise sophisticated corporate clients, private equity funds, and high‑net‑worth individuals on complex mergers, acquisitions, divestitures, and restructurings, providing strategic counsel that shapes major business transactions throughout Florida and beyond.

Key Responsibilities

Provide comprehensive tax counsel on mergers, acquisitions, divestitures, restructurings, and other complex corporate transactions, serving as lead tax advisor on high‑stakes deals.

Structure transactions to achieve tax‑efficient outcomes for corporate clients, private equity sponsors, family offices, and strategic buyers across diverse industries.

Draft and review sophisticated transaction‑related tax provisions, agreements, and tax opinions, including purchase agreements, partnership agreements, reorganization documents, and tax indemnity provisions.

Conduct comprehensive tax due diligence for corporate and private equity transactions, identifying and quantifying tax risks, opportunities, and post‑closing integration issues.

Advise clients on federal income tax implications of transactions, including Subchapter C reorganizations, partnership tax matters, and consolidated return considerations.

Counsel on state and local tax issues affecting transactions, including nexus, apportionment, income tax structuring, and sales/use tax considerations across multiple jurisdictions.

Provide strategic guidance on international tax matters, including cross‑border M&A, tax treaties, controlled foreign corporations (CFCs), transfer pricing, and GILTI/Subpart F issues.

Collaborate with deal teams, financial advisors, investment bankers, and external tax professionals throughout transaction lifecycles.

Monitor and interpret changes in tax laws and regulations affecting transactional matters, including recent legislative developments, Treasury regulations, and IRS guidance.

Lead and mentor junior tax attorneys, building the firm’s tax practice capabilities and fostering professional development.

Develop and maintain sophisticated client relationships, serving as trusted advisor on ongoing tax planning and strategic business matters.

Qualifications

Active State Bar license in good standing (Florida Bar required or ability to waive in).

20+ years of experience in tax law with strong focus on M&A and complex transactions.

Extensive knowledge of federal, state, and international tax regulations, particularly as applied to corporate transactions and business combinations.

Proven track record advising on complex, high‑value corporate transactions, including significant M&A deals, leveraged buyouts, and corporate restructurings.

Strong drafting, research, and analytical capabilities, with ability to navigate sophisticated tax issues and provide practical, business‑focused advice.

Ability to manage multiple sophisticated matters simultaneously, exercising independent judgment and strategic leadership.

Excellent communication and client advisory skills, with experience serving as primary tax counsel to C‑suite executives, boards of directors, and private equity sponsors.

Juris Doctor (J.D.) degree from an accredited law school.

LL.M. in Taxation strongly preferred.

Strong academic credentials and demonstrated thought leadership in transactional tax matters.

Skills

Advanced transactional tax structuring, including expertise in taxable and tax‑free reorganizations, partnership formations and mergers, and tax‑efficient acquisition structures.

Strong analytical and problem‑solving abilities, with capacity to identify creative solutions to complex tax challenges in deal contexts.

Proficiency in drafting complex tax documentation, including tax opinions (Section 355 spin-offs, tax‑free reorganizations), tax indemnity provisions, and tax‑related representations and warranties.

Ability to explain technical tax issues clearly to non‑tax attorneys, business clients, boards of directors, and financial advisors.

Strong organizational and project‑management skills, essential for managing multiple concurrent transactions with overlapping deadlines.

Deep understanding of tax accounting methods, including purchase price allocation, Section 338 elections, and Section 754 adjustments.

International tax expertise, including cross‑border M&A structuring, tax treaty analysis, transfer pricing, and foreign tax credit planning.

State and local tax knowledge, with understanding of multi‑state nexus, apportionment, and combined reporting issues.

Leadership and business development capabilities, with track record of building client relationships and generating sophisticated tax work.
