As an Assistant General Counsel for Technology and Managed Services, you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients. Your focus will be on advising, drafting, updating, and negotiating the legal terms and conditions of client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licences and software‑as‑a‑service agreements, artificial intelligence, big data, analytics, cloud computing, and other technology and product‑related agreements.
You will be a part of EY’s Technology and Managed Services legal group, working closely with other GCO groups in the United States and other jurisdictions. The work is complex, often urgent, and high in volume and requires experience advising and leading negotiations in a supplier‑side technology and outsourcing transactional legal role. The role requires a strong background in managed services, outsourcing, and software‑as‑a‑service, current market knowledge related to current and new technologies, and a superior ability to manage multiple competing priorities in a compressed timeframe and to escalat[e] and interact with senior members of the organization.
Key Responsibilities
Drafting, updating and negotiating client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
Collaborating closely with other members of the U.S. GCO as well as local counsel in other EY member firms.
Coordination of legal resources on managed services projects.
Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for technology & managed services agreements.
Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests.
Understanding existing EY policies and developing or enhancing policies and guidance relevant to managed services and other technology services and products.
Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative and accountable to team leadership and other members of the GCO.
Building relationships and teaming seamlessly with other members of GCO, within the Legal Practice Groups, to deliver exceptional service to clients of GCO.
Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business, where requested or appropriate.
Qualifications
8+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading negotiation of Technology & Managed Services Agreements.
Experience negotiating with client’s internal counsel, outside law firms, and procurement.
Experience developing contracting templates, playbooks and standards.
Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements.
Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements and cross‑border data transfer).
Ability to understand, assess and negotiate terms for current and new technologies (including cloud and AI), and explain related legal and business risks in a practical manner.
Excellent communication skills, both oral and written.
Excellent negotiation and interpersonal skills.
High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility and ability to adapt to changing circumstances and dynamics.
Ability to work independently and team effectively with colleagues in other functions and geographic locations.
Ability to grasp, understand and accurately articulate and document complex legal and contractual principles, and balance risk from both a legal and commercial perspective.
Highly responsive with ability to manage high workload volumes and competing priorities efficiently and effectively.
Solution‑oriented with focus on exceptional client service.
Experience in a managed services counsel role in a technology or consulting organization with experience leading negotiations.
A bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar as an attorney qualified to practice law.
Good standing with the applicable State Bar including being current on individual state continuing legal education requirements.

Salary
Base salary ranges for U.S. locations: $210,900 - $406,000.
Base salary ranges for the New York City Metro Area, Washington State and California (excluding Sacramento): $253,100 - $461,400.
Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills and geography.
Our Total Rewards package includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options.
