Hoge Fenton is a respected, multi-service law firm headquartered in downtown San Jose, with offices in Pleasanton and San Mateo. We are actively seeking a Partner level /Senior Attorney to join our growing Corporate law group. We seek attorneys with substantive experience in corporate law and a demonstrated interest in providing advice and counsel to clients with a broad spectrum of corporate law issues.
The ideal candidate will have significant experience in M&A, securities, corporate governance, investments, joint ventures, and other general corporate matters with a portable book of business that has room to grow. You’ll collaborate with talented colleagues across offices to deliver strategic legal counsel and exceptional client service.
Requirements

• J.D. from an accredited law school with strong academic credentials
• Active member of the California State Bar
• 10+ years of experience in corporate law at a law firm or in-house legal department
• Proven track record of managing client matters independently and delivering high-quality legal work
• Deep understanding of corporate law, M&A, securities, and business transactions
• Excellent written and verbal communication skills
• Meticulous attention to detail and strong analytical ability
• A commitment to integrity, teamwork, and professional growth
  

Key Responsibilities:

• Provide legal advice and guidance on corporate governance, compliance, and regulatory matters
• Assist clients with mergers and acquisitions, joint ventures, and other corporate transactions
• Draft, review, and negotiate various corporate agreements and documents
• Conduct legal research and analysis to support client needs and objectives
• Collaborate with clients to understand their business goals and provide tailored legal solutions
• Stay updated on changes in corporate law and industry trends to effectively advise client
  

Compensation:
Compensation and benefits packages vary according to attorney classification. Compensation packages for Of Counsel attorneys are negotiated depending on their expected production.
