Responsibilities
Interact directly with Partners on matters related to client and engagement management
Model financial transactions for valuation, structuring and negotiation
Prepare detailed memoranda and presentations describing key attributes of client companies and industries
Review and analyze the tax aspects of acquisition and merger agreements and draft tax opinion letters and memoranda
Identify and analyze tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition and restructuring of businesses
Review, assess and advise clients regarding tax computations reflected in their financial models; assist clients in the qualitative and quantitative analysis of tax data in their financial projections for the transaction
Gather data, conduct document review and prepare reports
Research and financial analysis of target companies
Conduct due diligence for both buy‑side and sell‑side transactions
Structure transactions for tax and accounting issues
Provide negotiation support
Communicate with business owners to ensure delivery of exceptional client service
Participate in various marketing and recruiting activities of the firm
Qualifications
Bachelor’s degree in Finance, Accounting or related field required; or a graduate degree and 4 years of related work experience.
2+ years of work related experience in a mid‑to‑large size professional services firm
Certified Public Accountant (CPA) or JD/LLM required.
Experience in tax due diligence, deal structuring and post‑acquisition planning and/or inbound/outbound transaction consulting with international tax research, planning and compliance.
Demonstrated analytical, problem‑solving, organizational, interpersonal, project‑management and communication skills, and highly developed Microsoft Suite skills.
Strong written communication skills
Ability to provide exceptional client service, demonstrate commitment to continuous learning, exhibit ethical knowledge and urgency, and ensure timely completion of duties.
The compensation range for this role is $110,000 to $175,000. Actual compensation is influenced by a variety of factors including but not limited to skills, experience, qualifications, and geographic location.
