Position Overview My client is seeking a pragmatic Legal Counsel – AMS Region to support their operations across the U.S., Canada, and Latin America. This mid‑level role partners closely with the AMS Leadership Team and cross‑functional groups—Sales, Procurement, HR, Operations, and Finance—to provide business‑oriented legal guidance that balances risk with practical solutions.
Key Responsibilities
Draft, review, and negotiate commercial, vendor, distribution, licensing, and confidentiality agreements.
Lead negotiations, simplify complex deal structures, and ensure alignment with business goals.
Manage corporate governance, including annual filings, resolutions, and coordination with external agents.
Support compliance with U.S., Canadian, and Latin American regulatory requirements.
Advise AMS leadership on commercial, corporate, compliance, and employment matters.
Provide guidance on IP protection, data privacy, and regulatory programs.
Manage disputes and litigation, including oversight of outside counsel.
Identify and mitigate business risks while supporting growth opportunities.
Maintain templates, playbooks, and processes to improve contracting efficiency.
Contribute to strategic legal initiatives, IP portfolio management, and compliance training.
Deliver internal training to promote compliance and reduce risk.
Collaborate with global legal colleagues while operating independently as needed.
Qualifications & Skills
Juris Doctor (JD) from an accredited U.S. law school; active bar membership in at least one U.S. state.
5‑8 years of relevant experience, including 3+ years in‑house or advising corporate clients.
Strong background in commercial contracts, corporate law, and business transactions.
Experience in both law firm and in‑house environments preferred.
