Corporate Paralegal/Senior Corporate Paralegal
Hybrid Position (4 days on site in Tysons, VA)
Reporting To: Director of Practice Operations
Status: Permanent, Full-Time
Position Overview Fluet is seeking a proactive Corporate Paralegal or Senior Corporate Paralegal to support attorneys across corporate governance, entity management, contract operations, compliance tracking, and M&A transactions. The ideal candidate will be a detail-oriented, proactive professional with exceptional organizational, analytical, and communication skills who can effectively manage complex matters and execute assignments independently and collaboratively. Fluet is a premier, boutique law firm in Tysons, VA that provides robust legal services to the national security, aerospace, defense, and intelligence sectors.
Core Responsibilities
Entity management
Prepare and file entity formations, qualifications, amendments, dissolutions, registrations, blue sky filings, and lien searches and filings (UCC-1s and UCC-3s), across jurisdictions
Track and file annual/biennial reports; manage registered agent matters and compliance calendars
Support corporate transactions and restructurings, including mergers, acquisitions, novations, and reorganizations
Assist with drafting corporate resolutions and transmittal letters
General corporate recordkeeping
Contracts lifecycle support
Assist with the drafting and reviewing of commercial and government contracts, subcontracts, and amendments in compliance with FAR/DFARS and applicable agency regulations
Support compliance with the FAR, DFARS, and agency-specific supplements
Track key contractual terms, deliverables, flow-down clauses, deadlines, renewals, and options
Coordinate contract execution and maintain organized contract files
Compliance, records, and regulatory support
Maintain legal databases and document management systems
Support client questions related to publicly available government systems such as SAM.gov, FPDS, and USASpending (e.g., research, registrations, representations and certifications, and small business or socioeconomic programs)
Assemble due diligence packages and manage data rooms for transactions, audits, and regulatory or government submissions
Prepare closing checklists, organize documentation, and coordinate pre- and post-closing matters
Assist attorneys with government contract bid protests before the GAO
Organize and maintain document and evidence files, including correspondence, proposals, and contract history
Prepare exhibits, timelines, and summaries of procurement and contract data to support legal arguments
Track deadlines, filings, and procedural requirements to ensure timely submission of protest-related materials
Required Qualifications
Minimum of two (2) years of relevant Paralegal experience in a law firm or in-house
Strong knowledge of entity governance, corporate transactions, and multi-jurisdictional entity management and filings
Demonstrated contract support experience (drafting/review, tracking, execution)
Proficiency with Microsoft Office Suite (Word, Excel, Outlook)
Strong document management skills, including version control and electronic file maintenance
Strong organizational skills with exceptional attention to detail
Strong analytical and problem-solving skills
Demonstrated ability to prioritize tasks and meet deadlines
Commitment to maintaining strict confidentiality and exercising sound judgment
Preferred Qualifications
Familiarity with government contracts
Prior experience supporting matters involving regulated industries
Familiarity with Carta and Litera
Prior law firm experience supporting complex, high-stakes client matters
