Position Description:
Our client is seeking a senior-level Capital Markets & Securities Associate (minimum of 8 years of experience) to join its Business Group. This role involves working with regional and national clients as a senior member of the Capital Markets & Securities and Corporate Governance practice team. In addition to handling sophisticated transactional matters, the position offers the opportunity to serve as outside counsel for public company clients, fostering trust and strengthening client relationships.
Responsibilities
Advise public and private companies on complex business transactions, including initial public offerings, equity offerings, convertible debt offerings, and acquisition financings
Counsel clients on general corporate and securities matters, including Exchange Act reporting obligations and corporate governance issues
Structure and negotiate public stock and debt offerings, tender offers, rights offerings, IPOs, mergers and acquisitions, licensing deals, and other commercial matters
Lead transactions by managing strategic planning, delegating effectively, and supervising junior and mid-level associates
Identify potential issues proactively and ensure timely resolution
Draft and review transaction documents with precision and attention to detail
Collaborate with internal and external teams, clients, and stakeholders to navigate deal-specific issues and maintain exceptional client service
Required Qualifications
Minimum of 8 years of experience in capital markets and securities law
Extensive experience advising on public and private company transactions
Strong drafting, analytical, issue‑spotting, and problem‑solving skills
Proven ability to manage deals and lead teams effectively
Admission to practice law in the state of residence
Preferred Qualifications
Experience serving as outside counsel for public companies
Familiarity with listing and reporting requirements for OTC, Nasdaq, and NYSE‑listed issuers
Background in mergers and acquisitions, licensing deals, and other complex commercial transactions
Ability to work in a collaborative, cross‑office team environment
