Our client, a leading global financial institution, is seeking a Legal Office Manager to support the CIB Americas Legal Department. This role will serve as a critical liaison between the U.S. and global teams, ensuring efficient governance processes, proper execution of legal documentation, and smooth coordination of business management functions.This is a temporary role to start asap through approximately the end of Feb 2026.
Key Responsibilities
Power of Attorney (POA) / Apostille Coordination
Manage execution and notarization of Powers of Attorney (POAs) and apostilles in both the U.S. and France.
Coordinate with internal stakeholders, Paris Corporate Governance, local counsel, and external French notaries.
Oversee approximately 30 POAs annually, including Corporate Secretary and transaction-specific POAs across LATAM countries.
Signature Authority / Business Rules of Use (BRU)
Serve as CIB Americas administrator for signing authority and BRU.
Collaborate with global stakeholders to facilitate and maintain signing authority processes.
Update BRUs to ensure consistency and compliance with Head Office requirements.
Develop and roll out updated policies and procedures in coordination with the Paris DSA team.
Provide guidance and training to authorized signers and front office staff.
Corporate Governance Support
Draft Board presentations, written consents, and incumbency certificates.
Maintain legal entity ownership charts and support CIB Americas Entity Committees.
Collaborate with Paris Corporate Governance for entity-related approvals.
Support monthly Legal Entity Management Certification and onboarding requests from Porto.
Manage special projects for the Corporate Secretary function.
Process and Systems Management
Oversee execution of key governance and legal processes across CIB Americas.
Maintain director and executive officer records.
Manage Legal’s intranet content and coordinate corporate filings and invoice processing.
Serve as a system owner and power user for GaLexy, Jurisline, Legal SharePoint, and Legisway.
Lead process documentation and improvement initiatives with the Process & Change Management team.
Business & Department Management
Streamline Legal operations, including budgeting, accruals, and invoice management.
Manage onboarding and offboarding of staff and consultants, ensuring proper access, training, and communication.
Review and analyze expense reports, reclassifications, and budget adjustments.
Collaborate on monthly KPI reporting with internal stakeholders in New York and Paris.
Coordinate quarterly accruals and annual budget preparation for Legal.
Serve as coordinator for department audits and inspections, ensuring timely completion of deliverables.
Support preparation of the Legal Department annual plan and presentation materials.
Act as BCM (Business Continuity Management) Coordinator for Legal.
Transactional Support
Provide time-sensitive support for transactional legal documentation and related projects.
Manage POAs for transaction and litigation purposes.
Coordinate with Middle Office and Audit teams to maintain proper documentation linkage and reporting.
Qualifications
Bachelor’s degree required; advanced degree or paralegal certification preferred.
5–8 years of experience in corporate governance, legal operations, or a similar function within financial services or a multinational organization.
Strong understanding of POA execution, notary, and apostille processes (U.S. and international).
Familiarity with signing authority frameworks and business rules of use.
Excellent organizational and project management skills; able to manage multiple priorities.
Proficiency with legal systems such as GaLexy, Jurisline, SharePoint, or similar tools.
Strong communication and interpersonal skills, with experience working across global teams.
High attention to detail, analytical mindset, and commitment to process improvement.
