Corporate Finance : fund finance, private fund debt finance, securitization, structured finance, asset‑based lending, and real estate finance. Candidates should have a background representing lenders, arrangers, and institutional clients in subscription credit facilities, NAV‑based loans, hybrid structures, CLOs, CMBS, and repurchase or warehouse lending transactions.
Responsibilities
Draft, review, and negotiate complex transactional documents (contracts, operating agreements, fund documents, credit agreements)
Manage M&A and finance transactions from diligence through closing
Advise clients on entity structuring, risk, and regulatory matters
Work closely with cross‑functional legal teams and external stakeholders
For senior attorneys: lead negotiations, manage client relationships, and contribute to business development
Qualifications
JD from an accredited law school
3–8+ years of experience in corporate, finance, funds, or M&A practice (Associate/Counsel) or 8+ years Partner Level
Strong drafting, analytical, and deal‑management skills
Comfortable interfacing directly with clients, investors, or counterparties
(For partners) Portable book of business preferred, but not always required
