As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will be responsible for providing advice, counsel, and legal support in respect of the provision of technology products and platforms to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client-facing software licenses and software-as-a-service (“SaaS”) agreements, artificial intelligence, big data, analytics, cloud computing, as well as providing internal legal advice and support to various other EY technology and product teams from ideation, innovation, and go-to-market. You will be a part of EY’s Technology and Managed Services legal group, work closely with other GCO groups in the United States and other jurisdictions. The work is complex, often urgent, and high in volume and requires experience advising in a supplier-side technology transactional legal role. The role requires a background in SaaS, current market knowledge related to current and new technologies, and a superior ability to manage multiple competing priorities in a compressed timeframe and to escalate and interact on a regular basis with senior members of the organization.
Key Responsibilities Draft and negotiate client-facing product and platform agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments
Collaborate closely with other members of the US GCO as well as local counsel in other EY member firms
Collaborate closely with intellectual property counsel and procurement counsel on the development and commercialization of various products and platforms
Support coordination with cross-functional business and internal support teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary
Understand existing EY policies and help enhance policies and guidance relevant to technology products and platforms
Support and advise internal product teams in the development of new products and platforms
Gain a working understanding of the full range of tools, products and platforms required to be supported in order to provide effective product counsel
Manage workflow in a highly dynamic environment and remain highly responsive, reliable, communicative, and accountable to team leadership and other members of the GCO
Be adept in cross-functional settings and provide practicable legal advice to internal product teams and business stakeholders
Build relationships and team with other members of GCO to deliver exceptional legal service
Develop and deliver training on product and platform agreements, knowledge sharing, and best practice across the legal network and business
Continually learn, contribute and innovate in a dynamic space
Qualifications 7+ years of relevant technology-related transactional experience in a client-facing capacity, including drafting and negotiation of product and platform agreements
Strong background in supporting SaaS, software licenses, emerging technologies and various go-to-market delivery models
Experience developing contracting templates, playbooks and standards
Adept at leveraging legal and collaboration tools and technology to optimize teaming
Experience in data privacy, data security, licensing, and intellectual property law
Experience with cross-border contracting (including local country agreements and cross-border data transfer)
Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain related legal and business risks practically
Excellent communication skills, both oral and written
Excellent negotiation and interpersonal skills
High degree of cultural and emotional intelligence, resilience, flexibility, and ability to adapt to changing circumstances
Ability to work independently and in teams across functions and locations
Ability to grasp, understand, and articulate complex legal and contractual principles and balance risk from legal and commercial perspectives
Highly responsive with ability to manage high workload volumes and competing priorities
Solution oriented with focus on exceptional client service
Experience in a product counsel role in a technology or consulting organization with leadership in negotiations
Bachelor’s degree from an accredited 4-year college
Juris Doctor from an accredited law school
Membership in a State Bar as an attorney qualified to practice law
In good standing with the applicable State Bar and current on state CLE requirements

We offer a comprehensive compensation and benefits package where you’ll be rewarded based on your performance and recognized for the value you bring to the business. The base salary range for this job in all geographic locations in the US is $177,800 to $332,400. The base salary range for New York City Metro Area, Washington State and California (excluding Sacramento) is $213,300 to $377,800. Individual salaries within those ranges are determined through factors including education, experience, knowledge, skills and geography. In addition, our Total Rewards package includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options.
