Our companies are growing, and we are seeking a highly experienced and motivated Senior Paralegal to join our legal department. The ideal candidate will have a proven track record of supporting attorneys in drafting agreements, well versed in corporate law and contracts, and having experience in grant research is a major plus.
Job Summary The Sr. Corporate Paralegal and HR Specialist will support corporate governance, contracts, grants, and credit facilities. They will serve as the central coordinator between internal team and the external legal counsel. In addition, they will support the HR department with documentation, tracking, and coordination contract language with HR vendors, policy document management, acknowledgements, and compliance calendars.
Pay Range: $$65,000-$70,000
Job Functions
Maintain records and digital minute books for multiple entities
Prepare/File reports annually, foreign qualifications, and related state filings, track and maintain good standing status, request certificates as needed
Draft and maintain routine board member consents, resolutions, and officer certificates, subject to attorney review
Act as the central intake point for all contracts; vendors, customers, NDAs, MSA/SOWs, grant related agreements etc.
Perform first level review of contracts using established templates and playbooks; flag issues and escalates to outside counsel
Draft and revise simple agreements and amendments from the attorney
Coordinate internal contracts i.e. Operations, finance, IT and HR
Track covenant reporting requirements and coordinate collection of information
Maintain organized credit lines and loan facilities
Assist with UCC filing instructions and tracking
Support acquisitions and financing by organizing data rooms, gathering due diligence materials, and maintaining closing checklists
Requirements/Experience
Bachelor's degree in accounting, finance, or related field
3-5 years' experience of progressive accounting experience with exposure to multi-entity reporting
Solid understanding of GAAP, month end, and reconciliation
Experience in manufacturing, distribution, rental, construction, or project-based environments is a plus
Strong attention to detail, ability to manage recurring deadlines and prioritize tasks
Proficient in Excel and comfortable with ERP systems (P21 experience a plus
Solid analytical and problem-solving skills with clear, professional communication and ability to work with a team
Coordinate with HR department for documentation, tracking, and coordination contract language with HR vendors, policy document management, acknowledgements, and compliance calendars.
