Lawyers On Demand is currently seeking skilled applicants on behalf of a highly regarded insurance provider for their opening as a Corporate Governance Paralegal in their office in Purchase, New York.
Contract Details
Contract – Anticipated Duration of 3‑4 Months
Contract Pay Rate: $45/hour
Hybrid Schedule in Purchase, NY
Immediate Hiring Need
Duties & Responsibilities Corporate Secretarial Duties
Draft and execute corporate documents, board and shareholder minutes, and resolutions
Maintain entity management database—officer/director appointments and record upkeep
Prepare materials for board meetings and update the BoardVantage portal
Governance Best Practices
Review governing documents and policies; draft templates
Facilitate director onboarding and training
Liaise across departments to ensure legal entity governance aligns with regulatory/risk standards
Corporate Filings
Prepare annual/quarterly reports to U.S. Secretaries of State and Bermuda Registrar of Companies
Coordinate with vendors for service‑of‑process filings to subsidiaries
Assist with M&A and other transactions—managing data rooms, reviewing documents, and post‑close tasks
Contract & Project Support
Review simple contracts (e.g., NDAs) and process them through contract management software
Desired Skills & Experience
Minimum 5 years of corporate paralegal experience (in‑house or law firm)
Proficient in MS Word, Excel, PowerPoint, Visio, Outlook, and Adobe Acrobat
Experience with board‑management and entity‑management systems
Strong attention to detail with the ability to interface confidently with board members and senior management globally
Organized, self‑motivated, and able to work both independently and collaboratively
