Position Title: Corporate Counsel

Hours:

8:00 am-5:00 pm Monday-Friday

Hybrid work environment

Position Overview We are seeking an experienced

In-House Counsel

to join our executive leadership team and serve as a key legal advisor to the organization. This role reports directly to the CEO and partners closely with compliance, operations, finance, and executive leadership.

This is a highly visible, strategic role ideal for an attorney with deep experience in

healthcare regulatory, compliance, payer, and corporate matters , particularly within

home health, pediatric care, DME, or other highly regulated healthcare environments .

Provide legal counsel across a broad range of healthcare regulatory, compliance, corporate, payer, and legislative matters

Advise leadership on state and federal healthcare regulations, including home care, PDN, DME, and PPEC considerations

Support and collaborate with the Compliance function on investigations, audits, and regulatory responses

Draft, review, and negotiate corporate contracts, vendor agreements, and payer-related documents

Partner with outside counsel on complex legal issues and specialized matters

Lead and support legal and regulatory due diligence for mergers, acquisitions, and integrations

Oversee regulatory and payer notice and consent requirements tied to M&A activity

Monitor legislative and regulatory developments and proactively advise leadership on impact and strategy

Support government relations efforts, including legislative advocacy and regulatory engagement

Assist with policy development, internal training, and organizational risk mitigation

Represent the organization in legislative and regulatory discussions when appropriate

Qualifications Required

Juris Doctor (JD) from an accredited law school

Active license to practice law in the State of Minnesota

10+ years of relevant legal experience, ideally within healthcare or a highly regulated industry

Strong knowledge of healthcare compliance, regulatory frameworks, and payer environments

Proven ability to partner with executive leadership and translate complex legal issues into practical guidance

Preferred / Highly Desired

Experience in home health, private duty nursing, pediatric healthcare, DME, infusion, or long-term care

Exposure to multi-state healthcare operations

Experience supporting M&A transactions, including regulatory diligence and post-close integration

Familiarity with healthcare reimbursement, payer contracts, and audit response

Background working closely with compliance programs, investigations, and risk management

Strong executive presence with the ability to influence, educate, and advise senior leaders and boards

Salary SALARY RANGE:

At PHS, we are committed to providing specialized care for medically complex children. We are dedicated to offering fair and transparent compensation to our team members. The starting rate for this role is $175,000 annually, based on experience and qualifications.
