Direct Counsel is representing an Amlaw 100 firm
seeking a
mid-level Associate
to join its
Corporate Practice Group , specifically on the
Fund Formation and Investment Management Team , in either
Miami or Chicago . This is a
hybrid role
offering the opportunity to work with a wide range of clients across private equity, venture capital, and hedge funds, while enjoying the flexibility of a collaborative and forward-thinking environment. About the Practice:
This team advises private fund sponsors and investors across the entire fund lifecycle, including: Formation and structuring of
GPs, management companies, and investment vehicles
Fundraising process management
Regulatory compliance
(SEC, Advisers Act, Investment Company Act, etc.)
Investor-side negotiations
and legal strategy
Day-to-day legal needs and business counseling
This position provides exposure to both sponsor- and investor-side work in
private funds , with a focus on achieving clients’ business goals with practical, efficient legal solutions. Key Responsibilities:
Draft and negotiate fund documents, side letters, and management agreements.
Advise clients on fund economics, structuring, and compliance.
Support the formation and launch of a variety of
alternative investment vehicles .
Navigate complex
federal securities law
issues, including the ’33 Act, ’34 Act, Advisers Act, and Investment Company Act.
Collaborate directly with partners and clients across sectors and jurisdictions.
Qualifications:
4–6 years
of experience in fund formation and/or investment adviser regulation, ideally from a large law firm.
Interest and/or experience in
private funds
is required.
Familiarity with
entity structuring and federal securities law .
Ability to manage multiple matters in a
fast-paced, detail-oriented environment .
Strong academic credentials and
exceptional writing and communication skills .
Must be
licensed or eligible
for admission in
Florida or Illinois . Please specify

Compensation & Benefits:
Salary range: $250,000 – $320,000/year , depending on experience and location.
Discretionary bonus eligibility.
