Our Client, a Mass Media and Entertainment company, is looking for a Senior Paralegal for their New York, NY/ Hybrid location.

Responsibilities

Prepare first drafts of standard agreements

Track contracts at various stages upon receipt through and including up to final execution to ensure efficient completion and retention in accordance with applicable policies and procedures

Review the vendor and customer contracts for compliance with company policies and risk standards

Identity and escrow non-standard terms to attorneys

Negotiation Support

Assist attorneys in documenting negotiated terms with counterparties

Track redlines and maintain version control of documents

Support attorney in assigning projects to outside counsel and facilitate ongoing engagement

Start kick off email and send relevant information to outside counsel as needed, including but not limited to emails of key functional leads, copies of agreements, templates and language used, etc.

Contract Management

Maintain contract lifecycle systems (CLM tools e.g. Smartsheet, Agiloft)

CLM Implementation with Project Pathway and team leads

Consistently update the contract request tool form to better suit team needs

Send agreements for signature once deal summaries and approvals have been finalized; file approvals in relevant matter folders

Ensure proper execution and storage of agreements in correlating iManage matter workspaces

Maintain DocuSign NDA process to ensure compliance with applicable policies

Review each NDA that gets executed to ensure signer is approved US based Band 6 or higher and able to sign on behalf of the company

On incorrectly completed NDAs provide guidance to either the employee or the supplier on the correct way to complete the NDA

Provide guidance to employees on the NDA process

Cross-Functional Collaboration

Work closely with procurement, privacy, information security, EBR and ethics teams

Upon receipt of a Smartsheet request

Reach out to procurement to ensure accuracy in the submission and documentation

Review and inquire with business and sourcing on necessary information needed for the agreement or request

Ensure the necessary team leads are looped in for review of each request (e.g. infosec, privacy, etc.)

Act as a facilitator for legal with operational teams

Remain available to provide guidance and address questions from other legal team members as issues arise

Process Improvement

Update and maintain templates and playbooks for recurring standard agreements

Streamline workflows for faster contract turnaround

Administration

Perform tier 1 level support prior to engaging with IT and provide technology maintenance, troubleshoot technical issues for legal teams’ computers as they arise

Review the submission of outside counsel billing and invoices for payment to ensure accuracy

Act as a point of contact for all legal offsite storage of files with the document repository vendor

Monitor separate legal email inboxes and distribution lists

Provide legal support to fellow colleagues during major corporate transactions, ensuring seamless integration and risk mitigation

Ad-Hoc duties as necessary

Requirements

Ecounsel, iManage, and SmartSheet experience.

5+ years of experience.

DocuSign or AdobeSign Experience

5+ years experience.

Paralegal experience within Media and Entertainment

3+ years of experience.

Agiloft experience.

Legal Knowledge (non-qualified): Contract law, Intellectual Property, Data Privacy, Information Security

Technology Familiarity: SaaS, cloud computing, software licensing

Tools: CLM systems, Microsoft Office, e-signature platforms (e.g. DocuSign, AdobeSign)

Soft Skills: Attention to detail, proactive, communication, negotiation support
