Our client, a premier AmLaw 25 firm, is seeking a driven mid-level Associate Attorney to join its Private Investment Funds Practice Group . This role is ideal for attorneys eager to work at the intersection of technology , venture capital , and private equity , advising leading fund sponsors on structuring, formation, and operations. You will gain hands-on experience in a broad range of sophisticated matters, including financings, acquisitions, and the creation of innovative alternative investment structures.
Candidate Profile
* JD from a top-tier law school with an excellent academic record
* Active Bar Admission in Massachusetts , in good standing
* 3-5+ years of substantive experience in private investment funds or related transactional practice
* Proven ability to manage key workstreams in fund formation , structuring , and operations
* Demonstrated experience representing venture capital and private equity sponsors in U.S. and international transactions
* Prior experience at an AmLaw 100 or similarly sophisticated law firm is strongly preferred
* Soft Skills: Excellent legal writing, communication, analytical, and organizational skills, and a strong ability to work both independently and as part of a team
Key Responsibilities
* Represent domestic and international private equity and venture capital fund sponsors in fund formation , structuring , and ongoing operations
* Advise clients on fund governance , management , and compliance matters
* Handle complex transactions, including financings , acquisitions , and formation of alternative investment vehicles
* Collaborate with partners and cross-practice teams on innovative deal structures and strategic solutions
* Develop and maintain strong client relationships, serving as a trusted advisor to institutional investors and fund managers
* Take on leadership responsibilities within deal teams, while mentoring junior associates

Compensation & Benefits
* Competitive Compensation: Annual base salary is expected to range from $260,000 - $365,000 , depending on experience, qualifications, and market factors
