Overview We are seeking a proactive and detail‑oriented Paralegal / Corporate Legal Specialist to join our Legal team in a dynamic, fast‑paced environment at a NASDAQ‑listed company. This role will support the company’s strategic initiatives in legal, corporate governance, and compliance matters, working closely with in‑house counsel and cross‑functional teams. Ideal candidates possess strong organizational skills, legal research expertise, the ability to handle multiple assignments simultaneously, and proficiency in managing corporate records to ensure regulatory compliance and operational efficiency.

Responsibilities

Prepare, maintain, and revise the company’s corporate governing documents, including policies, standards, and procedures.

Document existing practices and workflows.

Develop and maintain processes to manage, track, and report on a wide variety of Legal Department metrics, information and documents, working closely with attorneys and legal professionals.

Assist in corporate governance activities, including preparing board and shareholder meeting materials, maintaining corporate records, and ensuring compliance with regulations.

Maintain the company’s Authorized Signatory List.

Maintain the company’s corporate registrations.

Manage due diligence requests both in the transactional context and for key existing relationships.

Provide administrative support as needed, including calendar assistance.

Qualifications

Bachelor’s degree or Paralegal Certificate.

Three (3+) years of corporate paralegal experience, preferably in a publicly traded company.

Strong knowledge of corporate governance, contract law, and regulatory compliance.

Experience with Legal Operations.

Proficiency in Microsoft Office and legal research tools (e.g., Westlaw, LexisNexis).

Experience in measuring and tracking legal department metrics.

Preferred

Experience with corporate entity management software (e.g., Diligent, hCue).

Compensation In the spirit of pay transparency, the starting pay range for this position is $25.95 – $40.78 per hour. This range represents base pay only and does not include other components that make up the total rewards package. If hired at Paychex, overall compensation will be determined by factors such as geographic location, skills, education, and/or experience, which may result in total compensation outside this range.
