Corporate Secretary & Authorized Signatory
to play a key role in managing our governance structure and acting as a central hub between the executive leadership team, board of directors, legal counsel, regulatory bodies, and institutional partners. Position Summary The Corporate Secretary will be responsible for maintaining and overseeing Anpota’s corporate governance framework, coordinating board meetings, preparing official records, and serving as an authorized corporate signatory for legal, regulatory, and banking documentation. The ideal candidate is proactive, detail-oriented, understands complex corporate structures, and has experience working with high-level executives and financial institutions. Key Responsibilities Act as the primary liaison between the executive team, Board of Directors, legal teams, and regulatory bodies. Organize and attend board meetings, record minutes, and maintain accurate documentation. Ensure corporate records, filings, and reporting obligations are current and compliant with SEC, IRS, Delaware Division of Corporations, and other regulatory bodies. Prepare and maintain resolutions, consents, share ledgers, stock issuances, and other sensitive documents. Serve as
authorized signatory
for banking documents, corporate resolutions, acquisitions, stock agreements, and investor documents. Oversee annual filings, corporate licenses, registered agent updates, and subsidiary compliance matters. Coordinate with external counsel, auditors, and banking partners as needed. Support equity management systems and cap table integrity in conjunction with legal and finance teams. Qualifications Bachelor’s degree required; JD or LLM preferred. 5+ years experience in a similar corporate governance, paralegal, legal, or executive-level administrative position. In-depth knowledge of Delaware corporate governance and incorporation laws. Experience working within a private equity firm, hedge fund, or high-growth startup environment is a plus. Demonstrated ability to manage confidential information with discretion. Excellent writing, communication, and interpersonal skills. Familiarity with equity management platforms (e.g. Carta, Pulley) and electronic board portals. Experience working with banking institutions and understanding of required documentation. Highly organized, detail-driven, and proactive problem solver.
