This position involves advising fund sponsors and investors in various private investment funds, including venture capital, private equity, real estate, and other alternative assets. The role focuses on structuring, formation, compliance, and management across diverse investment vehicles. Duties

Facilitate the structuring, establishment, and ongoing administration of private investment funds and associated management entities. Counsel institutional investors and fund sponsors on regulatory compliance and related legal matters. Draft and negotiate agreements, such as limited partnership and limited liability company agreements, for fund formation and investor relations. Guide clients on a variety of fund types, including venture capital, growth equity, buyout, fund-of-funds, private credit, and unique structures like feeder and access funds. Support clients with secondary transactions and carry vehicle structuring as required. Foster and maintain strong client relationships to support long-term advisory roles. Requirements

A minimum of 3 years of experience in private investment fund structuring, particularly in venture capital, private equity, and real estate funds. Proficiency in drafting and negotiating limited partnership and LLC agreements. Strong understanding of U.S. federal and state securities laws. Familiarity with regulatory frameworks, including the Investment Advisers Act and the Investment Company Act. Demonstrated expertise in managing secondary transactions and structuring carry vehicles. Education

Juris Doctor (J.D.) degree from an accredited institution. Active membership in good standing with a relevant state bar, preferably Nevada. Certifications

Admission to the Nevada Bar or eligibility for prompt admission. Skills
