A highly regarded law firm is seeking a Corporate Associate with 4–6 years of experience focusing on public companies and capital markets. This role involves working closely with innovative and high-growth clients, particularly in the technology and life sciences sectors, advising on complex governance and compliance matters as well as capital market transactions. The ideal candidate will bring hands-on experience with public company reporting and securities compliance and will have supported clients through IPOs, equity and debt offerings, and other key financing events. Duties
Advise public company clients on SEC reporting and compliance matters Counsel clients on governance issues and Nasdaq/NYSE requirements Represent issuers and investment banks in capital markets transactions, including: Initial Public Offerings (IPOs) Equity and debt offerings PIPE transactions (Private Investment in Public Equity) At-the-market (ATM) offerings Collaborate with cross-functional legal teams on corporate and securities law matters Serve clients in the technology and life sciences industries (preferred but not required) Requirements
4–6 years of corporate law experience with a focus on public companies and capital markets Demonstrated experience with SEC filings, governance, and disclosure matters Capital markets experience representing either issuers or underwriters Background in high-growth or regulated sectors such as tech or life sciences is a plus Ability to manage multiple complex matters and interact with clients directly Education
Juris Doctor (JD) from an accredited law school Certifications
Active Bar admission in the state corresponding to the selected office or ability to become admitted Skills
