Legal Counsel based in Houston needed for an international consulting firm. Description:
Drafting, reviewing, negotiating, and advising on a variety of agreements and all types of contracts with Baringa’s clients and suppliers, including professional services agreements, master service agreements, engagement agreements, license agreements, reliance letters, NDAs/Joinder, etc. Supporting Baringa’s US energy business unit in Houston by working closely with its consultancy staff and engagement partners in the office. Supporting the internal business functions of Baringa based in the United States on a wide range of matters. Conducting research and analysis on legal and contractual matters to ensure compliance with applicable laws, regulations, and company policies. Participating in proposal reviews (RFP, ITP) and providing an overview of legal terms, conditions, risks, and strategic considerations. Advising on privacy laws and regulations (US, UK, and EU) with the ability to apply advice to real-world situations and execute related tasks. Drafting and negotiating a wide range of technology agreements, including licensing, development agreements, technology partner agreements, and vendor support. Experience needed:
Juris Doctorate required. Must be admitted to practice law in one or more states; Texas preferred. 3+ years of experience at a major law firm and/or in-house legal department with a focus on commercial law, technology transactions, and data privacy. Strong communication skills, with the ability to draft and negotiate contracts and analyze legal issues to provide practical advice to business partners, including senior leaders. Organized, able to work independently and as part of a small team with the Senior Legal Counsel in New York.
