Job Summary (Primary Function) This role reports to the Associate Vice President, Contracts and Governance, regarding the Contract Lifecycle Management (CLM) system. It involves managing projects that enhance efficiency and improve legal department processes, collaborating with internal and external clients, and ensuring goals align with objectives and timelines. The role includes monitoring IT activities related to CLM, making appropriate decisions, escalating issues when necessary, and growing responsibilities related to legal technologies or systems. Essential Functions of the Job (Key Responsibilities)
Governance and Maintenance of Templates and Clause Library:
Manage contract templates and clause libraries within CLM, collaborate with legal counsel and stakeholders to develop fallback language and options, and maintain risk-based clause libraries. Document Repository Management:
Establish and maintain a document repository in collaboration with legal and IT, govern third-party risk engagement, and assist in developing and managing pre-contracting and contracting processes, including stakeholder meetings and training development. Contract Resource Center of Excellence:
Guide contract negotiators across legal and functional areas. Records Retention:
Work with legal and compliance teams to develop and enforce records retention schedules related to CLM. Relationships:
Build strategic relationships within legal, IT, and policy teams. CLM Maintenance:
Assist with system configuration, testing, communication of updates, and database administration. Training:
Support the development and delivery of training materials globally. Qualifications (Minimum Requirements)
Bachelor's degree or equivalent experience. Significant relevant experience (8-10+ years) or equivalent. Legal background preferred (J.D. or Paralegal Certification), or relevant experience. Experience in the pharmaceutical industry preferred. Knowledge or willingness to learn SOX, DocuSign, Conga, Agiloft CLM, AI functionalities, ZIPHq. Skills
Legal language drafting. Navigation of CLMs and compliance technologies. Interpersonal, communication, and organizational skills. Effective cross-functional communication. Independent work capability and process design skills. Self-motivation, organization, and detail orientation. Time management and decision-making skills. Positive attitude and adaptability.
