Associate Attorney

to join its dynamic

Investment Funds

practice. The role is open to attorneys based in

Austin ,

Boston ,

Chicago ,

New York ,

Philadelphia , San Francisco , or

Washington,

DC , with a

hybrid

in-office schedule. This is a unique opportunity for an attorney with funds experience to work on complex domestic and international matters involving private equity, venture capital, real estate, and hedge funds. The position offers direct client engagement, early responsibility, and a flexible hybrid work arrangement across multiple major markets. Candidate Profile JD from a top-tier law school with e

xcellent academic credentials . Active Bar Admission in the relevant jurisdiction , in good standing. 3–5 years of substantive experience in investment management and fund formation at an

AmLaw 100 firm . Background in domestic and international private equity, real estate, venture capital, and hedge funds is required. Experience with

secondary transactions ,

structuring separately managed accounts , and

structuring carry vehicles

strongly

preferred . Soft Skills: Excellent analytical, writing, and persuasive communication skills, attention to detail, and the ability to work independently as well as collaboratively. The ideal candidate will be an influential force with a strong business acumen. Key Responsibilities Advise

sponsors

and

investors

on the formation, structuring, and operation of

private investment funds and related vehicles . Draft, review, and negotiate

fund formation documents, investment management agreements, and side letters. Counsel clients on

secondary transactions ,

co-investments , and

separately managed accounts . Provide strategic guidance on

regulatory ,

compliance , and

$260,000 – $365,000 , depending on experience, qualifications, and market factors. Discretionary
