Role Summary The Governance & Compliance (G&C) Manager is responsible for maintaining and strengthening the governance and compliance framework ofADMT LLC, ensuring alignment with group-wide policies, regulatory obligations, and industry best practices. In the area ofgovernance, the G&C Manager leads the coordination of key internal committees and oversees the management of intercompany agreements, service level agreements (SLAs), and related governance protocols to ensure operational clarity and accountability across the organization. In the area ofcompliance, the G&C Manager acts as an independent and objective advisor to the business, supporting employees with compliance-related inquiries and fostering a culture of integrity. This includes promoting adherence to internal policies, the Code of Conduct, and relevant legal and regulatory requirements. Role Responsibilities: Governance Operations · Oversee all governance-related processes to ensure effective organizational oversight and compliance. · Coordinate the operations and meetings of key governance committees, ensuring their activities are compliant, and aligned with organizational governance frameworks. · Management of intercompany agreements and service level agreements (SLAs). Compliance Oversight · Develop, implement, and maintain robust compliance management procedures, as well as associated training programs to promote a culture of integrity and accountability. · Conduct Internal Compliance Risk Assessments (ICRA) and monitor the implementation and effectiveness of risk mitigation measures. · Support the effective rollout of group-level risk management policies and frameworks and coordinate with the Risk Manager. · Ensure management controls are in place, record and document effectiveness. Respond to comments and feedback from Compliance Departments of VW AG and other VW Group affiliates. · Support implementation and roll out of new Risk Management policies and guidelines. · Oversee and ensure adherence to all relevant export control regulations and internal processes. Policy Management & Regulatory Alignment · Review and update internal policies regularly to ensure compliance with applicable laws, regulations, and group-wide standards. · Ensure thorough documentation and ongoing compliance with internal controls, regulatory requirements, and audit standards. · Inform employees regarding policy update and changes, as required. Stakeholder Engagement & Reporting · Act as the primary point of contact for employee compliance-related inquiries, providing clear and consistent guidance. · Prepare and submit compliance reports to both local management and group-level stakeholders, ensuring transparency and regulatory alignment. · Collaborate cross-functionally with Legal, HR, IT, and Group Compliance departments of VWAG and VW affiliated companies to ensure consistent application of policies and timely resolution of compliance issues Years of Relevant Experience: Minimum years of relevant experience needed to perform the job • 7+ years of experience in corporate compliance, governance, risk management, and /or internal controls. Education • Bachelor’s degree • MBA or Masters, or equivalent graduate certification preferred General Skills Necessary to Perform Role: · Analytical and conceptual thinking – using logic and reason, creative and strategic · Communication skills – interpersonal, presentation and written · Digital proficiency – Skilled in using business software and digital tools · Cross-functional integration – joining people, processes or systems · Problem solving and decision-making skills · Resource and priority management · Ethical judgement and regulatory awareness Required Skills: · Familiarity with internal audit, HR processes, and cross-functional business operations. · Proven communications, presentation, training and facilitation skills. · Proficient in creating documentation to support governance and risk frameworks. Desired Skills: · All skills noted in the “Required” section plus: · Compliance, project, and/or risk management certification. · At least 3 years of experience engaging with senior leadership. · Strong conceptual thinking, negotiation, and stakeholder management abilities. · Proficiency in Microsoft Office, JIRA, Confluence etc. · German language skills advantageous, but not required Work Flexibility: • Accommodation for working time zone differences between international locations as needed • Travel is estimated to be 10%. • Role requires flexibility in daily schedule, including early morning meetings with Europe, evenings for the West Coast. In Silicon Valley (California), the salary range for this role will be $155,000 - $175,000, depending on education and years of relevant experience. Salary is determined by geographical location and adjusted accordingly.
