You will work under the direction of the Advantest America, Inc. General Counsel and will be a member of the growing, fast-paced, and dynamic US-based legal team. This position involves working closely with the AAI sales organization, internal departments, in-house counsel/legal team, and clients to manage, draft, negotiate, and execute agreements supporting sales, procurement, and services transactions, including master sales and services agreements, SOWs, manufacturing agreements, and more. The ideal candidate is proactive, a critical thinker, able to work cross-functionally, independently, and collaboratively in a fast-paced, growing technology and manufacturing environment. Alternate work locations within established AAI offices in the western US may be possible, but preference is given to those who can work from the San Jose, CA Headquarters. Essential Duties and Responsibilities: Manage, draft, review, and support negotiation of business contracts, SOWs, and agreements related to sales and engineering support. Collaborate with sales and engineering teams to align on negotiation strategies and address client revisions. Serve as liaison between business units and legal, conduct meetings, review agreements, and negotiate terms. Analyze potential risks in contracts and assist employees and leaders in understanding contract terms. Prepare summaries of executed agreements highlighting key terms for business units. Maintain and update sales and services templates with input from legal and business teams. Ensure company compliance with contractual terms, including those related to US government contracts such as FARs and DFARs. Perform additional duties as assigned by the General Counsel.
