Senior

Associate Attorney

to join their dynamic team in

New York (link removed) This position offers the opportunity to engage in sophisticated transactional work for a diverse range of clients, including private equity firms and strategic buyers.

Candidate Profile:

JD from a top-tier law school with a strong academic record (link removed)> Active Bar Admission in New York.

57 years

of substantive experience in

corporate transactions

and

M&A work.

Demonstrated experience with

private equity transactions

is

required (link removed)> Proficiency in

domestic

and

cross-border purchase and sale transactions ,

strategic mergers ,

leveraged buyouts ,

corporate restructurings ,

joint ventures , and

corporate governance (link removed)> Excellent interpersonal and communication skills, with a proven ability to collaborate effectively within a team.

Key Responsibilities:

Advise clients on a variety of complex corporate transactions, including private equity deals, mergers, acquisitions, and joint ventures.

Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and corporate governance documentation.

Support clients in corporate restructurings and strategic planning initiatives.

Manage aspects of cross-border transactions, ensuring compliance with relevant regulations and addressing jurisdictional challenges.

Develop and maintain strong client relationships through regular interaction and strategic counsel.

Collaborate with multidisciplinary teams to address tax, regulatory, and other legal considerations.
