Advise public company clients on disclosure obligations under federal securities laws Assist with compliance regarding major U.S. exchange listing standards Support clients in SEC interactions, including filing preparation and communications Draft and review Exchange Act filings, such as Forms 10-K, 10-Q, 8-K, and proxy statements Provide legal counsel on executive and director compensation disclosures Assist with capital markets transactions, including equity and debt offerings Collaborate on M&A transactions, joint ventures, and capital markets offerings Stay informed on securities law developments, corporate governance, and executive compensation trends Advise clients on risk mitigation, corporate governance, and compliance strategies Requirements
