Corporate Counsel
The Corporate Counsel will serve as a strategic advisor and business partner within the Legal Department, assisting with a wide range of matters, including among others, corporate governance, corporate and strategic transactions, contracts, state and federal regulations and real estate, as well as providing legal advice and support to the Company's business units and functions. In carrying out the required duties, the Corporate Counsel will also work with a variety of business units, impacting important business decisions in support of the Legal Department's mission to contribute to Planet Fitness' success by I) providing clear, timely, thoughtful, professional and practical legal advice; II) recommending and implementing appropriate policies, practices and procedures to mitigate risk and control costs; III) being effective leaders with a focus on strategy, efficiency and collaboration; and IV) contributing to Planet Fitness' fun, inclusive and Judgement-Free culture. This position is expected to follow a hybrid work schedule out of our Hampton, NH office. Responsibilities
Assist with the management of mergers and acquisitions, joint ventures, financings and other corporate and strategic transactions, including negotiating and preparing all transaction documentation in collaboration with internal teams and outside counsel, as well as organizing and managing related due diligence. Assist with the preparation of various SEC filings including proxy statements, Section 16 filings, current reports, securities offerings, and other related filings. Collaborate with the Finance Department on the preparation and filing of annual, quarterly and periodic reports with the SEC. Collaborate and provide legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materials. Advise the executive team and business unit leaders on mergers and acquisitions and other strategic transactions and partnerships over the full transaction life cycle, including deal negotiation and execution, post-closing integration, and disputes. Act as a key legal and business partner and advisor to the executive team and business unit leaders, as well as the finance, internal audit, and public relations functions. Assist with the negotiation, review and maintenance of the Company's corporate club leases. Monitor and maintain awareness of existing laws and regulations, as well as pending legislation and developments that are relevant to Planet Fitness' business interests. Respond to legal requests and queries from individuals in all areas and all levels within the organization, and proactively recognize and address potential legal issues as they arise. Collaborate with various departments to develop and maintain robust risk management policies, practices, and procedures. Draft and interpret corporate policies and procedures and facilitate training and strategic counseling on same. Oversee the maintenance of corporate governance and jurisdictional compliance for all corporate entities. Select and manage outside counsel to execute on engagements in a cost-effective manner. Delegate appropriate matters and provide supervision to paralegals and interns. Qualifications
Juris Doctorate degree from an accredited institution, as well as a valid license to practice law in any state 4-6 years of legal experience in a large law firm and/or in-house legal department, with demonstrated experience in the areas of corporate governance, mergers and acquisitions and corporate governance matters Preference for candidates with demonstrated experience as in-house counsel for, or outside counsel advising, public companies within one or more of the areas of securities compliance, public company reporting and commercial leases Experience with one or more of the areas of complex contracts, commercial leases and cross-border transactions is a significant bonus Strong analytical and problem-resolution skills with exceptional business judgment, including the ability to think strategically and give practical advice while balancing business needs with legal risks Highly organized self-starter with the ability to coordinate and follow up on multiple priorities, manage time effectively and meet deadlines Extremely detail-oriented, efficient, and organized with an exceptional ability to establish priorities and objectives Exceptional presentation and communication skills along with the ability to communicate effectively across all levels of the organization, including executives and Board of Directors Able to establish and maintain effective, collaborative work relationships with diverse individuals, internally and externally Creative, progressive, thought leadership with the ability to influence at all levels of the organization Excellent leadership skills including the ability to build teams, motivate, guide, and mentor Possess a results-driven entrepreneurial mindset, demonstrating initiative and creativity Demonstrated strategic thinking, creative problem-solving, and organizational leadership skills Exhibits comfort, ease, and flexibility working in an extremely fast-paced ever-changing, deadline-driven environment Cooperative team player with an upbeat, positive, "can-do" attitude!
