Who we are looking for :
Slate is seeking a Chief Legal Officer, General Counsel, Chief Compliance Officer, and Corporate Secretary (the "General Counsel") to join our executive leadership team. This strategic role involves overseeing the company's legal functions and ensuring compliance across areas such as corporate governance, securities, employment, litigation, regulatory, real estate, intellectual property, mergers and acquisitions, and other transactional matters. The position also serves as the company's Corporate Secretary and Chief Compliance Officer.
What you get to do :
Develop and manage company-wide policies related to ethical business practices, corporate law, data governance, claims management, and contract administration.
Monitor legislative and regulatory changes, advise leadership on impacts, and advocate as needed.
Advise on litigation risks and develop proactive legal strategies to mitigate liabilities.
Manage litigation, settlement negotiations, and dispute resolutions, focusing on securities, intellectual property, customs/import compliance, labor, and product liability.
Contribute as a senior management team member, helping to formulate and execute strategic goals.
Oversee compliance with federal securities laws and stock exchange regulations, including Sarbanes-Oxley requirements.
Provide legal guidance on strategic decisions such as acquisitions, joint ventures, investments, and contracts.
Serve as a senior advisor to the Board of Directors, ensuring corporate governance compliance.
Offer preventative legal counseling and ensure adherence to laws and internal policies.
Oversee transaction financing, debt restructuring, and public offerings.
Conduct periodic risk assessments to identify legal and business risks proactively.
Manage all legal services, overseeing internal legal teams and outside counsel.
Establish and manage the budget, staffing, and operational processes for the Legal Department.
Select, evaluate, and manage outside counsel to ensure cost-effective, high-quality legal representation.
This role supervises approximately five employees within the legal department.
What you bring to the team :
Juris Doctor (J.D.) or equivalent degree, with an active license to practice law in at least one U.S. state (preferably Michigan).
10+ years of experience in corporate legal counsel roles.
Experience in the Electric Vehicle (EV) industry and Initial Public Offerings (IPO).
Strong ability to analyze complex legal documents and provide strategic, business-oriented legal counsel.
Excellent response skills to sensitive legal inquiries and persuasive presentation to leadership and board members.
Expertise in negotiating and structuring high-value contracts, transactions, and legal settlements.
Proficiency in mathematical reasoning for financial transactions, contract structuring, and risk assessments.
Strong critical thinking skills to interpret technical legal concepts and manage complex regulatory requirements.
Collaborative mindset, leveraging diverse perspectives to support seamless service delivery.
Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, Visio).
