Sales Representative/Agent/Manufacturer's Representative

Keystone Powdered Metal Company (KPMC) is seeking to onboard a Sales Agent (independent sales representative under contract) to cover a defined region of the United States, with multiple regions available for coverage of the following description: Products: Powdered metal parts and other products that are manufactured, marketed, and sold by KPMC. KPMC desires to engage an independent sales representative to perform sales services, including new lead generation and qualification, quoting negotiations and preparation, contract negotiations, and general outbound marketing representation in select and assigned market segments. Solicitation of Orders: Solicit orders for the Products as an agent and not as a dealer or distributor. Prices and Terms: Solicit orders for the sale of the Products only at the prices and upon the terms established by KPMC. Sales Reports: The representative shall provide KPMC with sales reports and other information in forms designated by KPMC (electronic files, CRM, and databases), including opportunity management and opportunity pipeline/funnel data and insights. Advertising: KPMC shall be responsible for, and shall have sole control of, all advertising, promotions and other public relations matters for the Products in the Territory, although the representative will support these activities. Commissions: The onboarding period is followed by commissions. Compensation fees, comprising commissions, will be discussed based on the amount of completed sales of the Products. Split commissions may apply as an exception, but they are not usual. The representative is not entitled to receive any salary, bonus, or compensation other than commissions defined in an Exhibit to be mutually agreed upon. Term/Termination: Either 12-month or 24-month contract to onboard: a. 6-month retainer + 6-month commissions -or- b. 12-month retainer + 12-month commissions c. Seeking a long-term relationship, the above is an "onboarding" process to integrate with KPMC Expenses: Representative shall be solely responsible for all expenses, costs, outlays and disbursements incurred by or on behalf of Representative or its agents and employees in performing services under this Agreement. Confidentiality of Information: The representative will engage in a Non-Disclosure Agreement with KPMC. Non-Disclosure of Confidential Information: The representative shall hold and safeguard the Confidential Information in trust for KPMC, its successors, and assigns. Non-Competition: The representative agrees that during the term of this Agreement, the representative shall not, directly or indirectly, solicit orders for or sell, represent or distribute any products that are similar to the Products or that compete, directly or indirectly, with the Products. Code of Conduct: Agree to the code of conduct to be provided upon contract negotiations and validation of interest and fit. Territory: It will be defined in an Exhibit as either customers, market segments, and/or geography to be mutually agreed upon based on candidate qualifications and the company's existing coverage. Multiple geographic regions are available for consideration, including those States darkly highlighted herein; those not highlighted are open for proposal and consideration by qualified professional responses.
