Vice President

Assist Managing Directors on all aspects of transaction execution. Enable senior members to focus more on deal origination through day-to-day management of deals and clients. Prepare companies for sale by drafting their marketing materials and managing the entire sale process. Collaborate with Management to build bespoke sellside financial models and create necessary marketing materials. Facilitate market studies to guide investors on long-term business growth plans. Lead team through due diligence serving as key point of contact for both the buyer and seller throughout the sale process. Lead financial modeling, valuation and financial due diligence efforts while developing board of directors / investment committee materials with clients. Conduct financial due diligence on business plan and help develop novel investment structure to support the needs of the business. Navigate highly complex tax matters as related to master limited partnerships, international investments in US entities and changing federal tax rules. Focus on proprietary and bespoke idea generation for existing clients, under guidance from senior bankers. Present in meetings to clients. National travel 60% of time for new deals and existing clients. Bachelor's or foreign equivalent degree in Business Administration, Marketing, Finance, or a related field and two (2) years of experience in the job offered or related occupation. Experience must include two (2) years with each of the following: Complicated transaction modeling in the energy and infrastructure (including MLPs) sector. Advanced finance and securities valuation. Conducting detailed search on companies and industry trends. Multiple completed transactions with sellside and buyside clients, including public and private companies. Public company takeovers and other tax-free reorganizations such as spin-offs. Leading day to day M&A execution. Development of pitch materials for clients on new deals. Development of financial models, compilation of marketing materials and coordination of due diligence. Presenting to selected potential partners, structuring considerations, and planning the timing of an envisaged transaction. Valuation on various divisions of the company, including a discounted cash flow, precedent transaction, public comparable and premium to book value analyses. Presenting detailing financial performance of the company, rationale for partnership and quantified growth opportunities. Using Factset, Bloomberg, Microsoft Office (Excel, Powerpoint, Word, Vizio).
