Our client, a highly respected global AmLaw 50 law firm, is seeking a skilled Private Funds Associate Attorney to join its top-ranked Financial Services Practice Group in Los Angeles . This is a compelling opportunity for an attorney with fund formation experience to join a collaborative, high-caliber team advising a diverse range of clients-from first-time fund sponsors to many of the world's largest asset managers-across all major asset classes and fund strategies.
Candidate Profile:
- JD from a leading law school with a strong academic record.
- Active Bar Admission in California , in good standing.
- 3-6 years of relevant experience in private fund formation and related regulatory matters .
- Substantive experience drafting and negotiating private fund documentation , including private placement memoranda, fund and partnership agreements, subscription materials, advisory agreements, placement agent agreements, and related legal opinions.
- Demonstrated ability to manage fundraises from launch through closing , including project management, direct client interaction, investor negotiations (e.g., side letters), and subscription processes.
- Solid knowledge of the Investment Advisers Act, Investment Company Act exemptions, and Regulation D requirements .
- Preference for candidates with direct private funds experience ; however, strong corporate associates with a clear interest in transitioning to funds work will also be considered.
- Prior experience at a large law firm is highly preferred ; in-house or regulatory experience is a plus .
- Soft Skills: Strong legal writing, communication, and oral advocacy skills, alongside sound business acumen, are essential.
- Advise clients on the structuring, formation, and operation of private investment funds, including private credit, private equity, real estate, buyout, growth capital, secondaries, and funds of funds .
- Draft, review and negotiate core fund documents and side letters.
- Lead investor negotiations and manage full subscription and closing logistics .
- Oversee regulatory filings and advise counsel on compliance with federal securities laws.
- Serve as a trusted advisor to clients, offering strategic, business-minded guidance throughout the fund lifecycle.
- Collaborate with colleagues across regulatory, tax, and transactional practices to provide integrated legal support.

Compensation & Benefits:
- Competitive Base Salary: Starting at $260,000+, depending on class year and experience.
