Associate – Sponsor Finance (3–5 Years Experience) Location:
Boston, MA or New York, NY About the Role: We are seeking a highly motivated and detail-oriented Associate to join our Sponsor Finance team, supporting complex syndicated lending transactions. This role is ideal for candidates with 3–5 years of experience representing lenders in leveraged finance, particularly in sponsor-backed deals. Key Responsibilities : Represent banks, direct lenders, and other financial institutions in syndicated loan transactions, including acquisition financings and recapitalizations. Draft and negotiate credit agreements, commitment papers, intercreditor agreements, and ancillary documents. Collaborate with internal teams and external counsel to manage deal execution from term sheet through closing. Conduct due diligence and coordinate with clients and counterparties to ensure smooth transaction flow. Stay current on market trends and legal developments in sponsor finance and leveraged lending. Qualifications : J.D. from an accredited law school and admission to practice in New York or Massachusetts. 3–5 years of experience in a law firm or financial institution, with a focus on lender-side representation in syndicated finance. Strong understanding of leveraged finance structures, including first lien/second lien, unitranche, and mezzanine financing. Excellent drafting, negotiation, and communication skills. Ability to manage multiple transactions and deadlines in a fast-paced environment. Preferred Experience: Exposure to private equity sponsor-backed transactions.
