Holland & Knight LLP Holland & Knight is seeking an associate with 3-5 years of relevant experience to join our Nonprofit & Tax-Exempt Organizations Team. The Associate will need to be located in Dallas, Boston, Philadelphia, or Jacksonville.
The Associate’s Primary Responsibilities Will Include
Advising nonprofit organizations on legal and tax matters, including formation, applying for recognition of tax-exempt status, tax status reclassification, tax compliance, operational compliance, governance, fundraising, and other matters. Legal research and analysis of federal, state, and local laws and regulations impacting nonprofit organizations, including areas like tax exemption, corporate governance, fundraising, and charitable solicitations. Supporting clients in matters related to endowments, designated funds, field of interest funds and other restricted gifts, including establishing policies, managing investments, and navigating issues under the Uniform Prudent Management of Institutional Funds Act (UPMIFA). Providing support to corporate transactions including mergers, joint ventures, MRIs and PRIs, including relevant tax analysis and advice. Drafting and reviewing legal documents such as contracts, policies, grant agreements, corporate filings, and legal memoranda. Client management, building and maintaining strong client relationships, communicating with clients, and potentially managing projects and client expectations under the supervision of senior attorneys. Engaging with clients regarding charitable gift planning and the charitable aspects of estate planning,. Maintaining current knowledge of changes in laws, regulations, and legal precedents relevant to the nonprofit sector.
Our Associates can expect significant engagement with clients as well as opportunities for public speaking, writing and other opportunities to engage in business development and to enhance subject matter expertise.
Candidates should have strong writing skills, exhibit close attention to detail, and be hardworking. Immediately transferable skills and a strong academic background with high level of organization are also essential. Candidates should have substantial tax experience, with a dedicated focus on working with exempt organizations. Preference will be given to candidates that have exempt organization experience and an LL.M. in Tax, as well as familiarity with corporate governance requirements for nonprofit corporations. While not required, there is also a preference for candidates with experience working with supporting organizations, social welfare organizations, community foundations and donor advised fund sponsors. Experience with healthcare transactions is also a plus.
The successful candidate will join a nationally-recognized exempt organizations practice advising a dynamic and diverse client base of charities, foundations, advocacy groups and trade associations, including strong collaborations with Holland & Knight’s healthcare, public policy and education groups.
