Our client, a well-established Boston-based

boutique law firm , is seeking a skilled and experienced

Nonprofit Corporate and Tax Attorney

to join its collaborative and dynamic team.

Required Qualifications Juris Doctor (J.D.)

degree from an accredited law school Active membership

in the Massachusetts Bar, or eligibility to waive in 3+ years of legal experience

in

nonprofit tax

and

corporate law Deep knowledge of

federal tax-exempt organization regulations , including the Internal Revenue Code and related IRS rulings Experience advising

charitable organizations ,

foundations , or

public interest entities Strong research, analytical, and writing skills Ability to work independently, manage multiple priorities, and communicate effectively with clients and team members

Key Responsibilities Advise clients on

nonprofit formation

and secure

federal tax-exempt status

under IRC 501(c)(3) and other sections Counsel tax-exempt organizations and

Massachusetts public charities

on compliance, governance, and regulatory obligations Structure and facilitate

mergers ,

corporate affiliations , and

entity restructurings Conduct legal research and draft memoranda on

tax ,

corporate , and

state/local regulatory issues Draft, review, and negotiate governance documents, commercial contracts, and other legal agreements Stay current on developments in

nonprofit tax law ,

charitable solicitation laws , and relevant

IRS

and

state agency

guidance

Who you’ll work with: You’ll represent a diverse mix of

nonprofit and public sector clients , including: Community development and

nonprofit loan funds Charter schools and educational organizations Health and human services providers Charitable foundations and social impact organizations
