Securities Legal Counsel

to support the company’s public reporting obligations, financing transactions, and broader corporate law matters. This role plays a critical part in ensuring compliance with securities laws and governance best practices, while also serving as a trusted advisor to senior leadership.

Key Responsibilities Provide legal guidance on SEC filings, including annual and quarterly reports (Forms 10-K and 10-Q), current reports (Form 8-K), and proxy statements. Advise on financial communications, such as earnings releases and other public disclosures. Support the company’s corporate finance activities, including domestic and international debt offerings, credit agreements, derivatives, and share repurchase initiatives. Counsel on disclosure obligations related to emerging ESG (Environmental, Social, and Governance) issues. Oversee and enhance disclosure controls, procedures, and securities-related internal policies. Assist in preparing materials for Board of Directors and committee meetings. Contribute to the planning and execution of the company’s shareholder engagement efforts. Qualifications Juris Doctor (J.D.) and active membership in good standing with a U.S. state bar. Strong knowledge of SEC regulations and NYSE listing requirements. 6+ years of legal experience Skilled at leading and influencing cross-functional teams.
