A Fortune 500 consumer goods company is seeking a Securities Legal Counsel to support the company’s public reporting obligations, financing transactions, and broader corporate law matters. This role plays a critical part in ensuring compliance with securities laws and governance best practices, while also serving as a trusted advisor to senior leadership.
Key Responsibilities
- Provide legal guidance on SEC filings, including annual and quarterly reports (Forms 10-K and 10-Q), current reports (Form 8-K), and proxy statements.
- Advise on financial communications, such as earnings releases and other public disclosures.
- Support the company’s corporate finance activities, including domestic and international debt offerings, credit agreements, derivatives, and share repurchase initiatives.
- Counsel on disclosure obligations related to emerging ESG (Environmental, Social, and Governance) issues.
- Oversee and enhance disclosure controls, procedures, and securities-related internal policies.
- Assist in preparing materials for Board of Directors and committee meetings.
- Contribute to the planning and execution of the company’s shareholder engagement efforts.
Qualifications
- Juris Doctor (J.D.) and active membership in good standing with a U.S. state bar.
- Strong knowledge of SEC regulations and NYSE listing requirements.
- 6+ years of legal experience
- Skilled at leading and influencing cross-functional teams.
