M&A Divestiture Consultant
for a critical, project-based engagement. This is a unique opportunity to lead and execute the divestiture of several non-core business units. The ideal candidate will be a hands-on, strategic thinker with deep expertise in sell-side M&A processes, particularly within a private equity context. This role requires a seasoned professional who can navigate complex deal dynamics and manage a wide range of stakeholders. You will be the central figure steering the divestiture process, ensuring a seamless and efficient transaction from start to finish. This is a contract role with an estimated duration of six months, with the potential for extension based on the needs of the business. Responsibilities: Project Leadership:
Lead the end-to-end divestiture process for multiple business units, ensuring all project milestones are met on time and on budget. Stakeholder Management:
Act as the primary point of contact and lead communicator between the company's executive leadership, the private equity sponsor, investment bankers, and corporate legal counsel. Financial & Technical Due Diligence:
Own the sell-side due diligence process. This includes preparing and presenting
Quality of Earnings (QoE)
analysis to potential buyers and their advisors. Data & Systems Management:
Oversee the preparation of data rooms and manage information flow, with an emphasis on extracting key financial and operational data from systems such as
SAP
and
NetSuite . Strategic Execution:
Work closely with the executive team to develop and execute the overall divestiture strategy, including identifying potential carve-out complexities. Qualifications: Experience:
Director-level or equivalent experience in M&A, I.B., Corporate Development, or Transaction Services. Private Equity:
Proven experience working within a private equity-backed company is highly preferred. Sell-Side M&A:
A strong track record of success in leading and managing sell-side M&A transactions. Technical Skills:
Deep familiarity with financial due diligence and the ability to conduct and/or validate
Quality of Earnings (QoE)
reports. Systems:
Proficiency with
SAP
is strongly preferred; experience with
NetSuite
is a plus. Soft Skills:
