Sr. Associate, M&A Finance and Integration

About The Role
As part of the M&A Finance and Integration team, you'll collaborate with partners across the business including Corporate Development, Legal, Tax, Strategic Finance, and Accounting to help evaluate and execute on acquisitions and divestitures, financing activities, capital markets transactions, investments, and other special projects. You'll play a key role in all aspects of finance and accounting implications on transactions from origination through integration.
The Senior Associate role within this team is responsible for supporting both (i) pre-sign financial diligence, structuring and related negotiations and (ii) post-close integration related activities of the Accounting and Finance organization.
What You'll Do
Financial Due Diligence
Identify, evaluate and solve issues throughout the deal life-cycle starting from pre-sign due diligence to post-close integration of acquired businesses Analyze the financial and operational performance of target companies by reviewing accounting records and other documentation, and by conducting discussions with the target's management team; prepare presentation decks summarizing key findings Participate in purchase agreement negotiations including providing perspectives on working capital, indebtedness, and other purchase price adjustments Identify and clearly document findings in transactions regarding financial reporting, management reporting, and technical accounting implications Collaborate cross-functionally with Corporate Development, Strategic Finance, Accounting, Tax, Investor Relations, and Legal teams to provide insights on transactions
Finance Integration
Understand business and technology integration plans, assess the impact on Uber's finance organization and finance integration strategy Support end-to-end finance integration projects, including the development of detailed project plans and coordination of day-to-day execution activities, monitoring project progress, identifying and escalating potential risks and issues Partner cross-functionally within the broader Accounting and Finance orgs, and across functions with key dependencies such as HR and Engineering Assist in the preparation of written and verbal communications to senior finance leaders, articulating integration strategies, tradeoffs, and financial/operational impacts Apply strong understanding of accounting, finance, and tax processes to interpret technical and operational data, and assess project implications
Basic Qualifications
BS/BA in finance, accounting, or related field Minimum of 3+ years of experience in finance, accounting, advisory, or consulting roles CPA designation
Preferred Qualifications
Prior experience in a Big 4 financial due diligence or deal advisory practice Prior experience supporting M&A transactions, including financial due diligence experience Strong knowledge of US GAAP Strong financial and analytical skills with advanced Excel proficiency Excellent verbal and written communication skills, with the ability to distill complex issues and communicate with cross-functional stakeholders Experience supporting complex projects and managing multiple stakeholders Familiarity with enterprise systems such as Oracle, HFM, and TM1 (or willingness to learn)
