About The Role The Assistant General Counsel will serve as the dedicated legal business partner for Shelter business. Reporting directly to the Chief Legal Officer, this role will provide strategic legal counsel and support across all aspects of the business unit's operations, from product development and manufacturing to sales and distribution. The successful candidate will work collaboratively with cross-functional teams to identify legal risks, develop solutions, and ensure compliance while enabling business growth. What You'll Do Business Partnership & Strategy
Serve as the primary legal counsel and trusted advisor for assigned business unit leadership team Partner with business leaders to understand strategic objectives and provide proactive legal guidance Participate in business unit strategic planning sessions and provide legal risk assessments Support merger and acquisition activities, joint ventures, and strategic partnerships Advise on corporate governance matters affecting the business unit
Commercial & Transactional Support
Draft, review, and negotiate complex commercial agreements including supply agreements, distribution contracts, manufacturing agreements, and licensing deals Manage customer and vendor contract portfolios, ensuring favorable terms and risk mitigation Support sales teams with contract negotiations and deal structuring Advise on pricing strategies, terms and conditions, and commercial risk management Handle contract disputes and claims management
Regulatory & Compliance
Ensure compliance with industry-specific regulations affecting commercial building products Monitor evolving regulatory landscape and assess impact on business operations Develop and implement compliance policies and procedures Coordinate with regulatory affairs team on product certifications and standards compliance Support environmental, health, and safety legal requirements
Product & Intellectual Property
Advise on product development, launch strategies, and lifecycle management Support intellectual property protection including patents, trademarks, and trade secrets Conduct IP clearance reviews and manage IP disputes Review marketing materials and product communications for legal compliance Handle product liability matters and insurance coordination
Operational Legal Support
Provide guidance on employment law matters affecting the business unit Support real estate transactions including facility leases and acquisitions Advise on supply chain and logistics legal issues Manage litigation matters and work with outside counsel as needed Support crisis management and business continuity planning
Qualifications
What You'll Need Juris Doctor (J.D.) from an accredited law school 10+ years of legal experience, with at least 4 years in a corporate legal role Must be a member in good standing of a State Bar Experience in manufacturing, industrial products, or construction/building materials industry highly preferred Background in commercial law, contracts, and regulatory compliance Experience with international business operations and cross-border transactions Experience managing outside counsel relationships and legal budgets Leadership Competencies: Cornerstone Building Brands (CBB) Values and Behaviors & Mindsets
