Associate Commercial Counsel

22 hours ago Be among the first 25 applicants We are seeking a dynamic and pragmatic Associate Commercial Counsel to join our growing legal team. In this role, you will be responsible for managing and negotiating a broad range of commercial agreements and supporting cross-functional teams on legal and business issues. The ideal candidate is someone who thrives in a fast-paced, high-growth environment and is comfortable balancing legal risks with business objectives. As an Associate Commercial Counsel, you will: Draft, review, and negotiate a wide variety of commercial contracts, including SaaS agreements, vendor agreements, partnership agreements, NDAs, and service agreements. Advise internal teams (Sales, Marketing, Product, Operations, and Finance) on legal risks and contractual matters to enable business outcomes. Support legal operations by assisting in implementing and managing a contract management system. Conduct legal research to support contract negotiations and ensure compliance with relevant laws and regulations. Stay updated on changes in legislation and industry standards affecting the company. Serve as a point of contact for contract-related inquiries from clients, internal team members, and vendors. Foster strong relationships with external partners to facilitate smooth contract execution. Work with General Counsel to develop contract playbooks and train legal AI assistant to review, draft, redline, and identify risks in contracts. Requirements include a J.D. degree and license to practice law in at least one U.S. jurisdiction, 3–5+ years of relevant legal experience, substantial experience drafting and negotiating complex commercial agreements in the tech or SaaS industry, strong communication and interpersonal skills, excellent judgment, familiarity with legal tech tools and contract lifecycle management systems, and licensure in NY, GA, DE, or CA preferred. Nice to haves include experience in international markets, interest in AI and emerging technologies, familiarity with data privacy laws, and experience in federal sector or dual use technology.
