Wilson Sonsini’s Office of the General Counsel (OGC) is seeking a dedicated, skilled and entrepreneurial attorney to join our growing team. As the fifth attorney in the OGC, the Attorney in the Office of General Counsel, will work closely with other members of the OGC and the New Business and Conflicts Department to help manage the Firm’s legal operations while supporting attorneys and business professionals throughout the firm. This position will be involved in handling a wide array of risk matters with a focus on conflicts clearance and waivers, reviewing and negotiating outside counsel guidelines and other agreements, and discovery-related matters. This position is available on a full-time or part-time schedule, and can be hybrid or fully remote. Key Responsibilities Draft engagement letters, conflict waivers, ethical wall memoranda, secondment agreements, and related documents. Analyze and resolve conflicts of interest and other ethical issues that often arise in context of new matters and new clients. Review, revise and negotiate engagement letters, waivers, outside counsel guidelines and related agreements. Assist in reviewing and updating firm policies and templates. General support for the wide array of risk management duties performed by the Office of the General Counsel. Prepare training materials for attorneys and professional staff. Requirements Juris Doctor (J.D.) degree from an accredited law school. Active bar license in your state of residence or a jurisdiction in which Wilson Sonsini has an office. 3+ years of law firm experience in litigation or conflicts clearance, risk management, governance, compliance or related matters. Strong ability to work independently and collaboratively with lawyers and departments across the firm while managing shifting priorities. Strong analytical, problem-solving, research, writing, organizational, and communication skills. Commitment to excellent client service. Excellent discretion and professionalism. The primary location for this job posting is in Palo Alto. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $176,375 - $238,625 per year. The compensation for this position may include a discretionary year-end merit bonus based on performance.
