JOB SUMMARY
CARE is seeking an experienced attorney to provide legal services primarily related to contracts. As Senior Counsel, you will support innovative colleagues across CARE who are addressing humanitarian and development challenges by engaging private sector actors, designing market-based approaches, and incorporating digital solutions into our programs. You will serve as the primary legal advisor to a global supply chain team engaged in a multi-year transformation project aimed at enhancing the cost, speed, scale, sustainability, and quality of CARE’s responses and programs. Additionally, you will collaborate with stakeholders worldwide to oversee and manage various legal issues to help the organization achieve its mission.
RESPONSIBILITIES
Draft, review, and negotiate contracts
Draft, review, and negotiate various contracts, including supply chain agreements, master services agreements, service terms, SaaS and IT licenses, partnership, technology, data processing, teaming, fundraising, and grant agreements, with a focus on strategic vendor agreements.
Partner with supply chain, finance, IT, country offices, and other internal stakeholders to ensure contract terms align with CARE’s organizational objectives, strategic initiatives, and risk thresholds.
Resolve routine and complex contracting issues, including negotiating alternative contractual language and handling disputes.
Advise on applicable laws and develop templates, tools, and training
Provide legal guidance on U.S. and international regulatory and compliance matters, especially related to contracting, supply chain, privacy, and technology.
Develop and maintain standardized contract templates, playbooks, policies, processes, toolkits, risk management practices, and training programs to improve contract management efficiency.
Facilitate knowledge sharing, lessons learned, and training sessions to ensure staff understand contracting processes and policies.
Support the development and maintenance of a new global supply chain technology platform, including Contract Lifecycle Management (CLM).
Other legal duties as assigned
Assist with other legal matters, which may include corporate governance, entity registration, tax, IP, and other nonprofit-related issues.
