Position Overview The Counsel will be responsible for providing legal advice and support in the launch, maintenance, and dissolution of Apollo's funds and products, focusing on third-party Insurance Separately Managed Accounts (SMA) and fund matters. The Counsel will manage all legal aspects of fund formation, collaborating with deal teams, external counsel, and the Legal, Regulatory, Tax & Compliance departments. Primary Responsibilities: Assist with the launch and administration of third-party SMA, private funds, public funds, and managed accounts for insurance investors. Advise on fund structuring, investor negotiations, and regulatory compliance specific to insurance investors. Collaborate with stakeholders to facilitate fund formation and align with investor needs. Review and negotiate investment management agreements, fund documents, and regulatory filings. Analyze investor agreements and subscription documents to match insurance investor preferences. Review marketing materials for compliance with fund terms and industry standards. Partner with internal teams to support the growth of Apollo's fund platforms for insurance investors. Contribute to strategic initiatives on fund formation, structuring, and new product development targeting insurance investors. Qualifications & Experience: Juris Doctor from an accredited law school; membership in good standing with the California or New York State Bar. 6-10+ years of relevant legal experience, preferably at a top-tier law firm or financial services firm focused on insurance investors. Extensive experience in fund formation, especially with structures for insurance investors, SMAs, and private funds. Experience negotiating managed account agreements, side letters, and investor arrangements for insurance clients. Deep understanding of regulatory frameworks affecting insurance investors, including NAIC considerations and RBC implications. Knowledge of insurance investor regulatory requirements, capital efficiency, and asset allocation constraints. Exceptional communication skills to simplify complex legal concepts for investors and teams. Strong interpersonal skills for relationship building with investors and stakeholders. Ability to work independently and mentor junior team members. Comfortable managing multiple priorities in a fast-paced environment. Entrepreneurial, results-driven, and solutions-oriented mindset.
