The associate will engage in cutting-edge work involving public and private company financing, mergers and acquisitions, and corporate governance, with exposure to global markets including the U.S. and Asia. Duties
Advise venture-backed and publicly traded companies on a range of corporate transactions Support initial public offerings (IPOs), M&A, and equity financing deals Manage key components of complex deals independently and as part of cross-functional teams Provide strategic counsel on securities regulations and ongoing SEC compliance Collaborate with attorneys across multiple disciplines to deliver tailored client solutions Draft, review, and negotiate transactional documents and related corporate governance materials Requirements
3-4 years of experience handling a broad scope of corporate legal matters Demonstrated expertise in public company representation, equity offerings, and M&A Experience with or strong interest in working with life sciences clients Proven ability to handle responsibilities independently and work effectively in collaborative teams Strong drafting, negotiation, and analytical skills Education
Juris Doctor (JD) from an accredited law school Academic excellence is strongly preferred Certifications
Admission to a U.S. State Bar in good standing (California Bar preferred or ability to obtain promptly) Skills
Deep understanding of corporate law and transactional structuring Familiarity with SEC regulations and public company compliance Strong written and verbal communication capabilities Detail-oriented, organized, and capable of managing multiple deadlines Client-focused with a commercial mindset Job Location
