Provide strategic legal guidance on employee benefits and executive compensation in the context of mergers, acquisitions, and other corporate transactions Structure and advise on equity and incentive compensation arrangements for both public and private companies Analyze and interpret regulatory frameworks including securities law disclosure obligations and tax compliance under IRC Sections 409A and 280G Draft and negotiate benefits-related provisions in corporate transaction agreements Manage multiple matters with minimal oversight while supporting client needs efficiently and effectively Advise on the legal implications of various executive pay structures and governance practices Partner with internal teams and external clients on transactional due diligence and post-transaction integration Requirements
Minimum of 5–7 years of dedicated experience in employee benefits and executive compensation, particularly in the context of M&A Strong command of securities law disclosure requirements for executive compensation matters Proven ability to operate independently on complex matters with minimal supervision Experience managing concurrent projects and prioritizing tasks in high-pressure environments Detail-oriented with exceptional drafting and analytical skills Education
Juris Doctor (J.D.) degree from an ABA-accredited law school Certifications
Active membership in good standing with the Bar in at least one U.S. jurisdiction Skills
Expertise in designing and implementing equity and cash compensation plans Proficient in navigating the intricacies of IRC Sections 409A and 280G Exceptional written and verbal communication skills Ability to develop strong client relationships and communicate complex information clearly Independent thinker with a proactive, solution-oriented mindset Job Location
