A top-tier law firm is seeking a talented associate to join its M&A and Private Equity team in NY. The ideal candidate will have significant experience in M&A transactions and private equity matters. This role offers the opportunity to manage high-level transactions, work independently, and develop direct client relationships. Associates will work closely with senior attorneys and take on substantial responsibilities, gaining exposure to a broad range of corporate matters. Location: New York City, NY Duties: Advise corporate clients and private equity funds on acquisitions, dispositions, minority investments, and similar transactions. Provide guidance on general corporate matters, including governance and structuring. Draft and review transaction documents such as purchase agreements, shareholder agreements, and related contracts. Manage complex M&A deals and ensure smooth execution from start to finish. Develop and maintain direct relationships with clients. Handle responsibilities in a fast-paced environment. Contribute to business development efforts and client relationship building. Requirements: 4-7 years of experience in M&A and/or Private Equity transactions. Strong understanding of corporate law, market terms, and transaction structures. Extensive experience in drafting and negotiating M&A transaction documents. Proven ability to manage multiple complex transactions simultaneously. Excellent written and verbal communication skills. Ability to work independently and handle high responsibility. Business development mindset. Admission to the NY State Bar or eligibility for admission. Education: J.D. from an accredited law school (preferably Class of 2018–2021).
