Job Overview: A top-tier law firm is seeking a talented associate to join its M&A and Private Equity team in NY. The ideal candidate will have significant experience in M&A transactions and private equity matters. This role offers the opportunity to manage high-level transactions, work independently, and develop direct client relationships. Associates will work closely with senior attorneys and take on substantial responsibilities, gaining exposure to a broad range of corporate matters.

Duties:
- Advise corporate clients and private equity funds on acquisitions, dispositions, minority investments, and similar transactions.
- Provide guidance on general corporate matters, including governance and structuring.
- Draft and review transaction documents such as purchase agreements, shareholder agreements, and related contracts.
- Manage complex M&A deals and ensure smooth execution from start to finish.
- Develop and maintain direct relationships with clients.
- Handle responsibilities in a fast-paced environment.
- Contribute to business development efforts and client relationship building.
Requirements:
- 4-7 years of experience in M&A and/or Private Equity transactions.
- Strong understanding of corporate law, market terms, and transaction structures.
- Extensive experience in drafting and negotiating M&A transaction documents.
- Proven ability to manage multiple complex transactions simultaneously.
- Excellent written and verbal communication skills.
- Ability to work independently and handle high responsibility.
- Business development mindset.
- Admission to the NY State Bar or eligibility for admission.
Education:
- J.D. from an accredited law school (preferably Class of 2018–2021).
Certifications:
- Admission to or eligibility for the NY State Bar.
Skills:
- Expertise in M&A and Private Equity transactions.
- Strong drafting, negotiation, and deal management skills.
- Ability to work autonomously and manage client relationships.
- Excellent analytical and problem-solving skills.
