Job Title: Corporate Finance - Lending Attorney
Job Overview:
A prominent law firm based in Chicago, IL, is seeking a skilled Corporate Finance Attorney with over 7 years of experience in lending. This position is ideal for an attorney specializing in financing transactions, particularly those involving lenders in diverse industries. The role will involve managing acquisition financings, recapitalizations, and restructurings, as well as UCC filings and legal opinions. The successful candidate will handle lending deals independently from start to finish and must have a working knowledge of corporate law matters, including mergers, acquisitions, and corporate governance.
Duties:
- Lead financing transactions with minimal supervision
- Represent lenders in various sectors, focusing on acquisition financings, recapitalizations, and restructurings
- Provide opinions and manage UCC filings
- Collaborate with clients, both internal and external, across all organizational levels
- Demonstrate a strong understanding of general corporate law, including entity formation and corporate governance
- Manage competing priorities and adapt quickly to shifting demands
- Foster effective communication and strong relationships with clients
- Stay informed on emerging legal issues and trends within corporate finance and lending
Requirements:
- 7+ years of experience in corporate finance and lending
- Proven expertise in handling financing transactions independently
- Excellent organizational and detail-oriented skills
- Ability to manage complex matters under pressure
- Strong interpersonal and communication skills (both written and verbal)
- Experience in mergers and acquisitions, entity formation, shareholder agreements, and customer agreements is advantageous
- IL bar admission required; NY license or ability to waive in is a plus
- Legal authorization to work in the U.S. without sponsorship
Education:
- J.D. from an accredited law school
Certifications:
- Admission to practice law in Illinois
- NY bar admission (or ability to waive in) is preferred
