About the Role

The Company is seeking an Executive Vice President & General Counsel to be its top legal advisor and a key strategic partner in the fast-paced, innovative environment. The successful candidate will oversee all legal matters, including corporate governance, capital markets activity, SEC and Nasdaq compliance, commercial licensing, regulatory strategy, and risk management. This role is pivotal in shaping the company's agenda, particularly in the areas of Bitcoin and AI-driven innovation. The ideal candidate will have a J.D. from a top-tier law school, an active license to practice law in the U.S., and at least 15 years of legal experience, with a minimum of 5 years in a General Counsel or senior legal executive role at a public company. Expertise in corporate governance, capital markets, securities law, SEC reporting, regulatory compliance, and commercial licensing is essential, with a preference for candidates who are Bitcoin enthusiasts and have experience in digital asset matters.

Key responsibilities for the Executive Vice President & General Counsel include serving as a trusted advisor to the CEO, Board, and executive team, driving all legal aspects of capital markets activities, and ensuring compliance with legal and regulatory requirements. The role also involves developing and leading custody risk management strategies, supporting treasury operations and strategy, and monitoring emerging regulatory developments in digital assets, AI, cybersecurity, and global capital markets. The candidate should have a strong understanding of regulatory issues facing public companies and emerging technologies, as well as a proven track record of leadership and the ability to manage high-performing legal teams. Collaboration with cross-functional teams and providing legal leadership across global operations are also key aspects of the position.
